FILL-O-MATIC

TERMS AND CONDITIONS OF SALE, LIMITED WARRANTY, RETURNS AND REFUNDS, AND LEGAL VENUE

Effective Date: October 21, 2026
Website: www.fill-o-matic.com
Seller: DesignStein LLC
Product Brand: Fill-O-Matic
Governing Law: State of Texas
Preferred Legal Forums: Kerr County and Tom Green County, Texas, where legally permissible

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern purchases of Fill-O-Matic products, replacement parts, accessories, and related merchandise sold directly through www.fill-o-matic.com, as well as use of the website operated by DesignStein LLC ("Company," "DesignStein," "we," "us," or "our").

By placing an order and affirmatively accepting these Terms at checkout, the purchaser ("Customer," "Purchaser," or "you") agrees to the provisions applicable to that transaction.

Website visitors are also subject to applicable website-use provisions. Mere browsing without legally sufficient notice and assent does not necessarily establish acceptance of a purchase agreement.

Orders placed through Amazon, eBay, or other third-party marketplaces remain subject to applicable marketplace requirements, refund policies, and buyer-protection rules.

Nothing in these Terms limits rights that cannot lawfully be waived.

2. Product Purpose and Intended Use

Fill-O-Matic products are automatic water-level-maintenance devices intended for compatible swimming pools, spas, ponds, and other applications expressly authorized by DesignStein LLC.

Products must be used according to the manufacturer's installation instructions, operating specifications, and safety requirements.

The Fill-O-Matic is a mechanical device that may malfunction, become obstructed, leak, deteriorate, or fail to stop water flow.

The product is not a water-leak detection system, flood-prevention system, or substitute for routine inspection and monitoring.

Customers are responsible for determining whether the product is suitable for their intended application and maintaining safe operating conditions.

3. Water Pressure, Installation, and Plumbing Requirements

The Fill-O-Matic must be installed in accordance with manufacturer instructions and applicable plumbing and backflow-prevention requirements.

Water supply pressure exceeding 60 PSI requires appropriate upstream pressure regulation.

Customers are responsible for:

  • Proper installation and secure connections.

  • Using compatible hoses, fittings, valves, and water-supply components.

  • Complying with applicable plumbing and backflow-prevention requirements.

  • Inspecting for leaks, deterioration, obstructions, and mineral buildup.

  • Protecting equipment and water lines against freezing.

  • Properly adjusting and positioning the product.

  • Discontinuing operation when unsafe conditions develop.

  • Periodically monitoring water levels and water consumption.

  • Maintaining customer-supplied hoses, plumbing, and associated equipment.

Improper installation, excessive pressure, misuse, unauthorized modification, or operation outside manufacturer specifications may cause property damage and may affect warranty coverage to the extent permitted by law.

DesignStein LLC does not assume responsibility for plumbing or installation work performed by customers or independent third parties.

4. Water Overflow and Property Damage Warning

IMPORTANT WATER-DAMAGE NOTICE

Automatic water-level-maintenance equipment is not guaranteed to prevent overflow, leaks, or uncontrolled water flow under every operating condition.

Potential consequences of component malfunction, excessive pressure, improper installation, defective connections, or unattended water flow include:

  • Swimming pool, spa, or reservoir overflow.

  • Excessive water consumption and increased utility bills.

  • Damage to lawns and landscaping.

  • Damage to patios, decks, concrete, and hardscapes.

  • Soil erosion, saturation, or settlement.

  • Moisture intrusion into structures.

  • Damage to foundations or adjoining property.

  • Flooding and related property damage.

Customers should routinely inspect the product and associated plumbing and promptly shut off the water supply if abnormal operation is suspected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DESIGNSTEIN LLC EXCLUDES LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL ECONOMIC OR PROPERTY DAMAGES ARISING FROM PRODUCT USE OR MALFUNCTION.

This limitation does not exclude or restrict liability where prohibited by law, including legally nonwaivable product liability, personal injury, express warranty, or consumer protection remedies.

5. Orders and Payment

All orders are subject to acceptance, payment authorization, product availability, and verification of shipping information.

DesignStein LLC may refuse or cancel orders when legally permissible because of:

  • Pricing or listing errors.

  • Inventory shortages.

  • Unauthorized payment methods.

  • Suspected fraudulent activity.

  • Materially inaccurate shipping or billing information.

  • Other legitimate business or legal reasons.

When DesignStein LLC cancels an order before fulfillment, it will provide the refund required by applicable law.

Customers authorize collection of the purchase price, disclosed taxes, and applicable shipping charges.

6. Order Cancellation Before and After Shipment

Customers may request cancellation before their order is physically transferred to a shipping carrier.

A shipping label being created does not, by itself, mean the order has shipped.

If a valid cancellation request is received before shipment and applicable law requires cancellation, DesignStein LLC will cancel the order and issue the required refund.

Once merchandise has been physically transferred to a carrier, cancellation is not guaranteed.

Customers seeking to cancel an order after shipment must ordinarily follow the applicable return procedure.

A statement that an order was previously canceled does not, by itself, establish that a cancellation was properly submitted or completed.

DesignStein LLC may review:

  • Order history and transaction records.

  • Cancellation request timestamps.

  • Customer communications.

  • Shipping-label creation records.

  • Carrier acceptance scans.

  • Shipment tracking and delivery confirmation.

The Company will honor legally required cancellations and refunds, including rights relating to delayed shipments.

7. Erroneous Refunds and Merchandise Retained After Refund

An erroneous, duplicate, or unauthorized refund does not automatically entitle a purchaser to retain both the merchandise and the refunded payment.

Where legally permissible, DesignStein LLC may request that a customer who receives an erroneous full refund after shipment or delivery either:

  1. Return the merchandise using a prepaid return label supplied by DesignStein LLC; or

  2. Arrange repayment of the refunded purchase price through an authorized payment method.

This provision applies only when the refund was actually issued in error and the customer has no overriding legal right to retain both the refund and merchandise.

It does not override valid cancellations, legitimate chargebacks, legally required refunds, or consumer rights involving unordered merchandise.

If a customer wrongfully retains merchandise after an erroneous refund and declines a lawful request to resolve the matter, DesignStein LLC reserves the right to pursue available legal remedies.

These may include recovery of the purchase price, return of merchandise, or proven damages to the extent legally authorized.

DesignStein LLC may present order confirmations, cancellation histories, carrier records, payment histories, refund records, and customer communications as evidence in resolving such disputes.

8. Shipping Expenses, Cancellation Costs, and Recovery of Losses

When a customer materially breaches an enforceable sales agreement, DesignStein LLC reserves the right to recover commercially reasonable, documented, and legally recoverable losses.

Depending on the circumstances, recoverable damages may include:

  • Unpaid product value.

  • Reasonable carrier expenses resulting from a qualifying breach.

  • Reasonable expenses of stopping delivery or recovering merchandise.

  • Transportation and handling expenses resulting from a qualifying breach.

  • Other legally recoverable incidental damages.

DesignStein LLC does not charge an automatic cancellation penalty or restocking fee.

Wix administrative charges, payment-processing expenses, and third-party fees are not automatically payable by customers merely because DesignStein LLC incurred them.

Recovery of such costs requires an enforceable contractual or other legal basis.

Nothing in this section limits lawful payment disputes, valid cancellations, or legally protected refund rights.

9. Thirty-Day Return Policy

DesignStein LLC accepts qualifying voluntary returns of non-defective Fill-O-Matic merchandise when the customer requests return authorization within 30 calendar days from the date of delivery.

To qualify, merchandise must:

  • Be unused.

  • Never have been installed or connected to a water supply.

  • Include all originally supplied components and accessories.

  • Be returned in its original retail packaging.

  • Be in a condition suitable for resale as new.

  • Be accompanied by reasonable proof of purchase.

A return authorization request must be submitted within 30 calendar days after delivery.

Customers must follow the return instructions provided by DesignStein LLC.

Installed or used non-defective products are not eligible for voluntary return.

This exclusion does not affect legally required remedies for defective, damaged, incorrectly supplied, or nonconforming merchandise.

Once return authorization has been issued, the customer must ship the product within the return-shipment deadline communicated in the authorization.

[CONFIRM THE NUMBER OF DAYS ALLOWED TO SHIP THE PRODUCT AFTER AUTHORIZATION.]

10. Restocking Fees

No restocking fee is charged for eligible returns.

Customers remain responsible for return shipping costs on voluntary returns of non-defective merchandise.

The absence of a restocking fee does not make original outbound shipping charges refundable.

11. Return Shipping and Original Shipping Charges

For voluntary returns of non-defective merchandise:

  • The customer pays return shipping.

  • The customer is responsible for properly packaging the product.

  • A trackable shipping method is recommended.

  • The original outbound shipping charge is nonrefundable, except where applicable law requires otherwise.

  • The refund covers the eligible product purchase price, subject to applicable law and any required adjustment of taxes.

For approved defective-product warranty returns requiring return of the merchandise:

DesignStein LLC pays the authorized return shipping costs.

Customers must use the return method or prepaid shipping label authorized by DesignStein LLC unless another method is agreed upon.

Shipping expenses independently incurred without Company authorization are not automatically reimbursable, except where required by law.

12. Inspection and Refund Processing

Returned products may be inspected to determine whether they satisfy the applicable return conditions.

Products showing evidence of installation, use, water exposure, missing components, or damage may be ineligible for voluntary non-defective returns, subject to applicable law.

If a return is rejected, DesignStein LLC will notify the customer and explain the reason.

For an approved voluntary return:

DesignStein LLC will initiate the refund within 10 business days after completion of inspection and approval.

Refunds ordinarily will be made to the original payment method unless another lawful method is agreed upon.

The customer's financial institution or payment provider may require additional time to post the refund.

This processing period does not override any shorter refund deadline required by applicable law.

No restocking fee will be deducted.

Original shipping charges for voluntary non-defective returns are nonrefundable, except where required by law.

13. One-Year Limited Product Warranty

LIMITED WARRANTY — ONE (1) YEAR FROM DELIVERY

DesignStein LLC provides a limited warranty covering manufacturing defects in designated Fill-O-Matic components under normal intended use.

Warranty Duration

The warranty begins on the date the product is delivered to the original purchaser and remains in effect for one year from that original delivery date.

Transferability

Warranty coverage is available to any subsequent owner during the remainder of the original one-year warranty period.

Transfer of ownership does not restart or extend the warranty period.

A subsequent owner must provide reasonable proof of the original delivery date and sufficient information to establish warranty eligibility.

Covered Defects

The warranty covers qualifying defects in materials or workmanship affecting specifically designated components during normal intended use.

Only components identified in the final written warranty schedule are covered.

[COVERED COMPONENTS MUST BE IDENTIFIED BEFORE PUBLICATION.]

Warranty Remedy

For an approved claim involving a covered defect, DesignStein LLC will, at its discretion, repair or replace the defective covered component or assembly, subject to applicable law.

Any replacement or repaired component remains covered for the remainder of the original warranty period or any longer period required by law.

Repair or replacement will be provided without prohibited warranty-service charges.

Warranty Exclusions

To the extent permitted by law, the warranty does not cover defects or damage attributable to:

  • Improper installation.

  • Operation above specified water-pressure limits.

  • Freezing or inadequate winterization.

  • Unauthorized alteration or modification.

  • Abuse or misuse.

  • Improper maintenance.

  • Customer-supplied hoses or plumbing components.

  • External water-system failures.

  • Normal wear not attributable to a manufacturing defect.

  • Mineral deposits or environmental conditions not caused by a covered defect.

An exclusion applies only to the extent supported by the applicable warranty, the actual cause of the problem, and governing law.

Warranty Shipping

DesignStein LLC pays authorized return shipping costs when return of a defective product or covered component is required for an approved warranty claim.

Legal Rights

This written warranty provides specific legal rights, and customers may also have other rights that vary by state.

Nothing in this warranty eliminates implied warranties or statutory remedies in violation of applicable law.

[FINAL REVIEW REQUIRED: Covered components, outbound warranty shipping, and the complete written warranty disclosures.]

14. Warranty Claims and Defective Products

Customers requesting warranty assistance must contact DesignStein LLC within the applicable warranty period and provide sufficient information to identify the purchase and reported defect.

The Company may reasonably request:

  • Proof of original purchase or delivery date.

  • Product identification.

  • Photographs or videos of the reported defect.

  • A description of the failure.

  • Information concerning operating conditions and installation.

DesignStein LLC may determine whether inspection is necessary and provide appropriate instructions.

Customers should not return merchandise without first obtaining the applicable shipping instructions, except where law requires otherwise.

Where an approved claim requires the merchandise to be shipped for warranty inspection or service, DesignStein LLC will pay authorized return shipping costs.

Repair or replacement will be provided consistent with the limited warranty and applicable law.

Expiration of the voluntary 30-day return period does not eliminate an otherwise valid one-year warranty claim.

15. Limitation of Liability

To the maximum extent permitted by applicable law, DesignStein LLC's liability for ordinary contractual purchase claims shall be limited to the amount paid for the particular product giving rise to the claim.

To the maximum extent permitted by law, DesignStein LLC disclaims liability for lost profits, business interruption, indirect financial losses, incidental damages, and consequential damages arising from product use or inability to use the product.

These limitations do not apply where prohibited by law, including applicable personal injury, product liability, fraud, statutory consumer protection, and nonwaivable warranty claims.

If a limited contractual remedy fails of its essential purpose, additional remedies remain available as required by law.

Nothing in these Terms creates an absolute exemption from liability for defective products or legally actionable misconduct.

16. Customer Conduct, Fraud, and False Claims

DesignStein LLC reserves the right to investigate suspected unlawful conduct involving purchases, returns, payments, or customer communications.

Examples include:

  • Knowingly fabricated cancellation claims.

  • Knowingly false payment or delivery representations.

  • Fraudulent attempts to obtain merchandise without payment.

  • Deliberately falsified return information.

  • Unauthorized payment activity.

  • Credible unlawful threats or extortion.

  • Other actionable fraud or misconduct.

The Company may preserve relevant evidence and, where appropriate, report suspected unlawful conduct to payment providers, selling platforms, law enforcement, or legal counsel.

Customers retain the right to submit honest reviews, legitimate complaints, lawful chargebacks, and consumer protection claims.

Negative feedback or disagreement with the Company does not, by itself, constitute fraud or wrongdoing.

17. Payment Disputes and Chargebacks

Customers retain all legally protected payment-dispute rights.

DesignStein LLC may contest chargebacks using legitimate transaction evidence, including:

  • Order confirmations.

  • Payment records.

  • Customer communications.

  • Cancellation records.

  • Shipping confirmations.

  • Carrier tracking and delivery information.

  • Refund histories.

The Company reserves the right to pursue lawful remedies for genuinely unpaid contractual obligations and actionable fraud.

No automatic penalty will be assessed solely because a customer files a good-faith payment dispute.

The Company will not pursue duplicate payment recovery or restrict legally required consumer remedies.

18. Website Content and Intellectual Property

The Fill-O-Matic name, logos, photographs, manuals, product descriptions, website materials, and other content owned by DesignStein LLC are protected to the extent provided by applicable intellectual property law.

Website materials may be used for ordinary personal shopping, product evaluation, installation, and operation.

Unauthorized commercial reproduction, misuse of protected branding, impersonation, or infringement of Company intellectual property is prohibited.

Website visitors must not attempt unauthorized access, introduce malicious software, or interfere with website operation.

19. Governing Law

These Terms and eligible purchase-related disputes shall be interpreted under the laws of the State of Texas, subject to controlling federal law and mandatory consumer protections that cannot legally be waived.

Nothing in these Terms eliminates a customer's nonwaivable rights under the laws applicable to that transaction.

20. Legal Jurisdiction and Venue — Kerr County and Tom Green County, Texas

Kerr County, Texas, and Tom Green County, Texas, are DesignStein LLC's preferred forums for eligible legal disputes involving these Terms, direct website purchases, and related contractual obligations.

To the extent permitted by applicable law, the parties agree that eligible proceedings may be filed in a court of competent jurisdiction located in either Kerr County or Tom Green County, Texas.

Where either county is a legally permissible contractual forum, the parties consent to proceedings in that county to the extent their agreement is enforceable.

The parties agree not to object solely on the grounds of inconvenience when the selected forum is otherwise legally proper and the agreement is enforceable.

Nothing in this section:

  • Creates subject-matter jurisdiction where none exists.

  • Establishes venue contrary to mandatory law.

  • Overrides legally applicable consumer protections.

  • Prevents a claim from proceeding in another court when required by controlling law.

  • Creates federal jurisdiction or waives jurisdictional requirements.

Federal claims may be brought only in federal courts possessing independent jurisdiction and proper venue.

DesignStein LLC expressly reserves the right to initiate qualifying proceedings in Kerr County or Tom Green County when permitted by applicable law.

These Terms do not require mandatory arbitration or waive the right to a jury trial.

21. Attorney's Fees, Court Costs, and Legal Remedies

DesignStein LLC reserves its right to pursue enforcement of legally binding purchase agreements and payment obligations.

The Company may seek relief for:

  • Unpaid contractual obligations.

  • Material breach of contract.

  • Actionable fraud or misrepresentation.

  • Unlawful interference with Company operations.

  • Intellectual property infringement.

  • Other legally cognizable misconduct.

In qualifying proceedings to enforce these Terms, the prevailing party may seek reasonable attorney's fees and court costs to the extent authorized by applicable law or an enforceable contractual provision.

Recovery of expert expenses, collection costs, transportation losses, or other litigation-related charges is permitted only where legally authorized and adequately established.

No provision guarantees an award of attorney's fees or costs in every dispute.

22. Informal Dispute Resolution

Customers are encouraged to contact DesignStein LLC about ordinary contractual disputes before initiating litigation.

The parties should make reasonable good-faith efforts to resolve disagreements.

A suggested informal resolution period is 30 calendar days following written notice of the dispute.

This process does not prevent legally protected payment disputes, emergency judicial relief, preservation of claims, or exercise of nonwaivable consumer rights.

It is not a mandatory arbitration agreement.

23. Privacy and Third-Party Services

DesignStein LLC may process customer information for order fulfillment, payments, warranty administration, customer service, fraud prevention, accounting, and legal compliance.

Personal information is governed by the Company's separate Privacy Policy and applicable law.

Third-party services, including Wix, shipping carriers, and payment processors, may maintain separate contractual and privacy policies.

The Company may retain transaction and communication records where reasonably necessary and legally permitted.

24. Changes to Terms

DesignStein LLC may revise these Terms prospectively.

Any revised version will identify its effective date.

Changes do not automatically alter completed purchases or existing contractual rights without legally sufficient notice and agreement where required.

The terms properly accepted when a direct purchase agreement was formed ordinarily govern that transaction, subject to controlling law.

25. Severability and No Waiver

If any provision is found unlawful, invalid, or unenforceable, it shall be limited or severed to the extent legally appropriate.

The remaining enforceable provisions shall continue in effect.

Failure by DesignStein LLC to enforce a provision on one occasion does not automatically waive the Company's right to enforce it in another lawful circumstance.

26. Entire Agreement and Order of Precedence

These Terms, the applicable written limited warranty, return and refund provisions, checkout disclosures, and any separately agreed purchase conditions constitute the applicable agreement for direct website purchases.

Where provisions conflict, controlling law, specific written warranty commitments, and legally applicable transaction-specific requirements take precedence.

Any separately negotiated written agreement accepted by both parties controls to the extent it expressly modifies these Terms.
